  End-User License Agreement

This End-User License Agreement (“Agreement”) is a legal agreement between you (“Licensee”) and CoCart Headless, LLC (“Licensor”) for the FrostyCache software plugin (“Software”). By installing, activating, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.



## 1. Dual-License Structure



The Software is governed by two complementary licenses:



      - **Source code:** The source code of the Software is released under the **GNU General Public License, version 2.0 or later** (“GPL-2.0-or-later”). The full text of the GPL-2.0 is available at [gnu.org/licenses/gpl-2.0.html](https://www.gnu.org/licenses/gpl-2.0.html).

      - **Services and premium features:** Access to automatic updates, technical support, premium features, and the Licensor’s update and support infrastructure is governed by this commercial Agreement and requires a valid, active license key.





The GPL-2.0-or-later governs the code. This Agreement governs the services and premium functionality.



## 2. Grant of License



Subject to the terms of this Agreement and upon payment of the applicable fees, the Licensor grants the Licensee a non-exclusive, non-transferable, non-sublicensable license to:



      - Install and use the Software on the number of production WordPress installations (“Sites”) permitted by the Licensee’s purchased plan.

      - Install the Software on unlimited development and staging environments at no additional cost.

      - Receive automatic updates, bug fixes, security patches, and new features for the duration of the license term.

      - Access technical support as described in the Licensee’s plan.





## 3. License Plans



FrostyCache is available in the following tiers:



### Personal



      - Valid for **1 production site**.

      - Includes automatic updates and technical support.

      - Ideal for individual site owners running a single WordPress site with REST API caching needs.





### Freelancer



      - Valid for up to **10 production sites**.

      - Includes automatic updates and technical support.

      - Designed for freelancers and small agencies managing multiple client sites.





### Agency



      - Valid for up to **100 production sites**.

      - Includes automatic updates and priority technical support.

      - Built for agencies and businesses managing large portfolios of WordPress sites.

## 4. Development & Staging Sites



All license plans include **unlimited development and staging site activations** at no additional cost. A development or staging site is defined as a non-production WordPress installation used for testing, development, or quality assurance purposes.



Common development and staging environments are automatically detected, including:



      - Sites on `localhost` or local IP addresses (e.g., `127.0.0.1`, `192.168.x.x`).

      - Sites with common staging subdomains or paths (e.g., `staging.example.com`, `dev.example.com`).

      - Sites running on common local development tools (e.g., LocalWP, DDEV, Lando, MAMP, WAMP).





Development and staging activations do not count toward your production site limit.



## 5. License Activation



Each license key is activated on a per-site basis. One activation equals one production WordPress installation identified by its unique domain name.



      - You can activate your license key on the Plugins page in WordPress admin, by defining `FROSTYCACHE_LICENSE` in `wp-config.php`, or via WP-CLI with `wp frostycache license activate`.

      - Deactivating a site frees up that activation slot, allowing you to use it on a different site.

      - If you reach your activation limit, you must deactivate an existing site before activating a new one, or upgrade your plan.

      - Multisite (WordPress Network) installations count each subsite as a separate activation if each subsite uses a unique domain. A subdirectory multisite under a single domain counts as one activation.





## 6. License Term & Renewal



### Yearly Plans



Yearly licenses automatically renew at the end of each 12-month billing cycle. Upon renewal:



      - You continue to receive updates, support, and access to premium features.

      - The renewal is charged at the current renewal price, which may differ from promotional or introductory pricing.

      - You may cancel auto-renewal at any time through your Polar.sh account. After cancellation, your license remains active until the end of the current billing period.





### Lifetime Plans



Lifetime licenses are a one-time purchase that grants perpetual access to updates, support, and premium features for as long as FrostyCache is actively developed and maintained. Lifetime licenses do not require renewal.



“Lifetime” refers to the lifetime of the product, not the lifetime of the purchaser. In the unlikely event that FrostyCache is discontinued, lifetime license holders will receive the final version of the Software and may continue to use it indefinitely under the GPL-2.0-or-later.



## 7. Expiration & Inactive Licenses



If your yearly license expires or is not renewed:



      - You will no longer receive automatic updates.

      - You will lose access to technical support.

      - Premium features requiring an active license will be disabled.

      - The base Software will continue to function as the GPL-2.0-or-later permits, but without updates or premium functionality.





You may reactivate an expired license at any time by renewing your subscription.



## 8. Restrictions



The Licensee shall not:



      - Resell, share, gift, sublicense, or transfer the license key to any other individual or organization.

      - Use the license key to provide Software-as-a-Service or managed hosting where third parties benefit from the premium features without their own license.

      - Remove, alter, or obscure any copyright, trademark, or proprietary notices in the Software.

      - Use the FrostyCache name, logo, or trademarks except as required for reasonable attribution.





If you are an agency purchasing on behalf of a client, the license should be purchased under the agency’s account. If the client needs independent access, they should purchase their own license.



## 9. Open Source Obligations



Because the Software’s source code is licensed under the GPL-2.0-or-later, the following open source obligations apply:



      - **Derivative works must remain GPL:** If you modify the source code and distribute the modified version, your modifications must also be licensed under the GPL-2.0 or a compatible license.

      - **Source code availability:** If you distribute a modified version of FrostyCache (whether for free or commercially), you must make the complete corresponding source code available to recipients under the GPL-2.0-or-later.

      - **No additional restrictions:** You may not impose additional restrictions beyond those of the GPL-2.0-or-later on any version of FrostyCache that you distribute.

      - **Attribution:** You must retain all copyright notices and license headers present in the original source code.





The GPL-2.0-or-later covers the software code only. It does not grant rights to use the FrostyCache name, branding, or trademarks, nor does it grant access to our update servers, support services, or license validation infrastructure.



## 10. Intellectual Property



The Software, including all code, documentation, graphics, trademarks, and trade secrets, is the property of CoCart Headless, LLC. This Agreement does not convey any ownership rights.



## 11. Warranty Disclaimer



The Software is provided “as is” without warranty of any kind, express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.



The Licensor guarantees that the Software will function on a clean installation of WordPress. The Licensor does not guarantee compatibility with all third-party plugins, themes, or hosting environments.



## 12. Limitation of Liability



In no event shall CoCart Headless, LLC be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, lost revenue, or business interruption, arising out of or in connection with the use or inability to use the Software, even if advised of the possibility of such damages.



The Licensor’s total aggregate liability under this Agreement shall not exceed the amount paid by the Licensee for the license in the twelve (12) months preceding the claim.



## 13. Termination



      - The Licensor may terminate this Agreement immediately if the Licensee breaches any term of this Agreement.

      - Upon termination, the Licensee must cease use of all premium features and services. The Licensee may continue to use the Software’s base code under the GPL-2.0-or-later.

      - Sections 8, 9, 10, 11, 12, and 14 survive termination.





## 14. General



      - This Agreement constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior agreements and understandings.

      - This Agreement is governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law provisions.

      - If any provision of this Agreement is held to be unenforceable, the remaining provisions shall remain in full force and effect.

      - The Licensor reserves the right to modify this Agreement at any time. Continued use of the Software after changes constitutes acceptance.

      - These Terms are originally written in English. In the event of conflict with any translation, the English version takes precedence.
