1. Acceptance of Terms

By purchasing, downloading, installing, or using FrostyCache (“the Plugin”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, do not purchase, install, or use the Plugin. These Terms constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and CoCart Headless, LLC (“Company,” “we,” “us,” or “our”).

Your use of the Plugin is also governed by our Privacy Policy, Refund Policy, and License Agreement, which are incorporated into these Terms by reference.

2. Definitions

  • “Plugin” refers to the FrostyCache WordPress plugin software, including all files, documentation, and associated materials.
  • “License” refers to the commercial license key that grants access to plugin updates, support, and premium features.
  • “License Key” refers to the unique alphanumeric code provided upon purchase that activates your License.
  • “Site” refers to a single production WordPress installation identified by a unique domain name.
  • “Plan” refers to the specific license tier purchased (Personal, Freelancer, or Agency).
  • “Polar.sh” refers to the third-party payment processing platform used to handle all transactions.

3. License Grant

Upon valid purchase and subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to install and use the Plugin on the number of production WordPress sites permitted by your Plan. The Plugin source code is released under the GNU General Public License v2.0 or later (GPL-2.0+). However, access to automatic updates, premium features, and technical support requires an active commercial License.

4. Permitted Use

You may:

  • Install and activate the Plugin on the number of production WordPress sites allowed by your Plan.
  • Install the Plugin on unlimited development and staging environments at no additional cost, provided these environments are not publicly accessible production sites.
  • Modify the Plugin source code for your own use, subject to the GPL-2.0+ license obligations.
  • Create backup copies of the Plugin for archival purposes.

5. Restrictions

You may not:

  • Redistribute, resell, lease, sublicense, or otherwise transfer your License Key to any third party.
  • Share your License Key publicly or with individuals or organizations not covered by your License.
  • Use a single License Key on more production sites than your Plan permits.
  • Use the Plugin to provide a competing caching-as-a-service product.
  • Remove or alter any proprietary notices, labels, or branding within the Plugin, except as permitted under GPL-2.0+.
  • Circumvent or attempt to circumvent license validation mechanisms.
  • Misrepresent your relationship with CoCart Headless, LLC or claim endorsement by us.

6. Payment & Billing

All payments for FrostyCache are processed through Polar.sh, a third-party payment platform. By making a purchase, you also agree to Polar.sh’s terms of service and privacy policy.

  • Pricing: All prices are listed in US Dollars (USD). Local currency pricing may be provided where available, based on Polar.sh’s capabilities.
  • Yearly Plans: Yearly licenses automatically renew at the end of each billing cycle unless cancelled before the renewal date. You may cancel auto-renewal at any time through your Polar.sh account.
  • Lifetime Plans: Lifetime licenses require a single one-time payment and do not renew. They grant perpetual access to updates and support for as long as FrostyCache is actively maintained.
  • Taxes: Prices may be subject to applicable taxes depending on your jurisdiction. Any applicable taxes will be calculated and collected by Polar.sh at checkout.
  • Failed Payments: If a renewal payment fails, your License will become inactive after a grace period, and you will lose access to updates and support until payment is resolved.

7. Refunds

We offer a 14-Day Compatibility Guarantee. If you experience a genuine technical incompatibility with FrostyCache that our support team cannot resolve within 14 days of your original purchase date, you are eligible for a refund. 8. Intellectual Property

The Plugin source code is licensed under the GNU General Public License v2.0 or later (GPL-2.0+). You are free to use, modify, and distribute the source code in accordance with the terms of the GPL.

However, the following elements are proprietary and are not covered by the GPL:

  • The FrostyCache name, logo, and branding.
  • Commercial license keys and the license validation system.
  • Access to update servers, support channels, and premium feature delivery.
  • Marketing materials, website content, and documentation hosted on frostycache.com.

Purchasing a commercial License grants you access to updates, support, and premium features. It does not grant ownership of any intellectual property belonging to CoCart Headless, LLC.

9. Termination

We reserve the right to terminate or suspend your License at any time if you violate these Terms. Upon termination:

  • Your License Key will be deactivated.
  • You will lose access to plugin updates, support, and premium features.
  • You may continue to use the last version of the Plugin you downloaded, subject to the GPL-2.0+ license, but without updates or support.

You may terminate your License at any time by cancelling your subscription through Polar.sh (for yearly plans) or by contacting us. No refund will be issued for voluntary termination outside the 14-day refund window.

10. Limitation of Liability

To the maximum extent permitted by applicable law, CoCart Headless, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or related to your use of or inability to use the Plugin.

Our total cumulative liability to you for any and all claims arising from or related to the Plugin shall not exceed the total amount you paid for your License in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

The Plugin is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • The Plugin will meet your specific requirements.
  • The Plugin will be compatible with every WordPress installation, theme, or plugin combination.
  • The Plugin will operate uninterrupted or error-free.
  • Any defects in the Plugin will be corrected within a specific timeframe.

You acknowledge that caching software interacts deeply with WordPress internals and third-party code, and that compatibility issues may arise that are beyond our reasonable control.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in the United States.

13. Changes to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the “Last updated” date at the top of this page. Continued use of the Plugin after changes are posted constitutes your acceptance of the revised Terms.

For material changes that significantly affect your rights or obligations, we will make reasonable efforts to notify you via email or through the Plugin’s admin interface.
